According to U.S. law the American flag is not to be used for any kind of advertising. This means you are not supposed to put any kind of writing on it in order to market a product or service. Would this prohibition include using images of the flag for décor on a webpage? Or would an image be considered a replica (the way a lapel pin is OK when the flag itself cannot be used as clothing)?Is it OK to super-impose writing over a picture of an American flag in order to design a logo for a webpage?

1) It is OK to use the flag in conjunction with advertising as a separate, stand-alone image. I see it as no different from a car dealer flying a huge American flag over his lot.
2) It is NOT ok to superimpose images or writing over the flag OR to use the flag in a trademark. Since a logo is sort of an 'unregistered trademark' I would also avoid using the flag in a logo. It is perfectly OK to use stars and stripes elements in a logo, just not the US flag in its entirety.

A retailer is contemplating inserting the company logo name in the center of the flag on t-shirts; I don't agree that it is compliant, what do you think?

You are correct to be concerned.
It is a direct violation of the United States Flag Code, USCode Title 4:

"The flag should never be used for advertising purposes in any manner whatsoever. "

and:

"The flag should never have placed upon it, nor on any part of it, nor attached to it any mark, insignia, letter, word, figure, design, picture, or drawing of any nature."
