Arline,

When a flag is so worn it is no longer fit to serve as a symbol of our country, it should be destroyed by burning in a dignified manner. You may also want to check with your local American Legion, Boy Scouts, or VFW to see if they offer the service of disposing of the flag, be aware however, that not every one of these organization's locations are capable of such a service.
